FormForge – Website Shop Terms and Conditions

Important – Read me first: The text below is provided for general guidance only and does not constitute legal advice. Because every business is different you must review these Terms carefully (and, where appropriate, take professional advice) to ensure they meet your particular needs and comply with all applicable laws.

1  About These Terms

These terms and conditions (the “Terms”) govern your use of, and any purchase you make from, the FormForge website shop available at https://FormForge.uk (the “Site”). By accessing the Site or placing an order you agree to be bound by these Terms, which form a legally binding agreement between you and FormForge (“FormForge”, “we”, “us” or “our”). If you do not accept these Terms you must not use the Site or purchase any Products.

These Terms apply whether you act as a consumer or a business customer. Different provisions may apply depending on your legal status—see section 14.

FormForge is a sole‑trader business established in England and Wales. Our main activity is the supply of digital templates, form‑building tools and related services (collectively, the “Products”).

3  How to Contact Us

    If we need to contact you we will do so by email using any address you provided during checkout.

4  Placing an Order

  1. Order process – Add Products to your basket and follow the on‑screen prompts to checkout.
  2. Acknowledgement – Shortly after checkout we will email you an order confirmation. This email only confirms that we have received your order; it does not mean that your order has been accepted.
  3. Acceptance – Your order becomes binding when we send you an email confirming dispatch (or, for digital Products, confirming that your download or licence is available) (the “Dispatch Confirmation”).
  4. Verify details – Please check your order carefully before submitting it. You are responsible for ensuring that all details (products, quantity, delivery information, billing information, etc.) are correct.

5  Products

  • Descriptions – We take reasonable care to describe Products accurately. Images are illustrative; colours and appearance may vary depending on your device.
  • Digital Products – For digital downloads it is your responsibility to ensure you have compatible hardware, software and internet access.
  • Licence – Digital Products are licensed, not sold. Licence terms are set out in section 10.

6  Prices and Payment

  1. Prices – All prices are in pounds sterling (£) and include VAT (where applicable).
  2. Delivery charges – Any delivery costs will be displayed at checkout before you confirm your order.
  3. Payment methods – We accept all major credit and debit cards (Visa, Mastercard, Maestro)—excluding American Express—as well as PayPal, bank transfer, and payments taken over the phone.
  4. Timing of payment – Payment is taken when you place your order.
  5. Pricing errors – If we discover a pricing error we will contact you for instructions or cancel the order and refund all sums paid.

7  Delivery & Access

  • Physical Products – We aim to dispatch physical items on the next working day. However, dispatch may take up to 3–5 working days depending on stock availability and the nature of your order. Delivery times are estimates only. Risk in the Products passes on delivery; ownership passes once we receive full payment.
  • Digital Products – A link to download or access the Product will be provided in your Dispatch Confirmation or via your online account. We warrant that any digital download will be supplied without defects in accordance with section 9.

8  Returns & Your Statutory Right to Cancel (Consumers)

8.1 Distance‑selling right to cancel – If you are a consumer, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 give you 14 days to cancel most online purchases:

  • Physical Products – You may cancel within 14 days after the day you (or someone you nominate) receive the goods.
  • Digital Products – You may cancel within 14 days unless you expressly requested immediate download/access and acknowledged that you would lose your right to cancel once the download or streaming started.

To cancel, email info@formforge.uk or use the model form in Schedule 1. You must return physical goods without undue delay (and in any event within 14 days of telling us you are cancelling). You are responsible for the cost of returning the goods. We will reimburse you within 14 days of receiving the goods back (or evidence that you have sent them) or, for digital Products, within 14 days of your cancellation notice.

8.2 Our hassle‑free 14‑day satisfaction guarantee – In addition to your statutory rights, if you are not completely satisfied with a Product for any reason you may return it to us within 14 days of receipt for a full refund of the purchase price (excluding delivery). Returned items must be unused and in their original condition. The same cost‑of‑return rule applies: you pay the return postage.

9  Faulty or Mis‑Described Products

If a Product is faulty or not as described you may be entitled to a repair, replacement or refund under the Consumer Rights Act 2015 (for consumers) or the Sale of Goods Act 1979 (for businesses). Please contact us promptly with details and (where relevant) supporting evidence. Nothing in these Terms limits your statutory rights.

10  Intellectual Property & Licence (Digital Products)

  1. Ownership – All intellectual‑property rights in the Site and the Products remain with FormForge or our licensors.
  2. Licence grant – Upon full payment we grant you a non‑exclusive, non‑transferable licence to use the digital Product for your own internal business or personal purposes, subject to any usage limits stated on the Site.
  3. Prohibited uses – You must not resell, redistribute, sublicense, reverse engineer or otherwise exploit the digital Product beyond the scope of the licence.
  4. Template restrictions – If you customise one of our templates you may use the customised version in your own projects, but you may not sell or share the original template file.

11  Acceptable Use of the Site

You agree not to: (a) use the Site in any unlawful manner; (b) introduce viruses or malicious code; (c) attempt to gain unauthorised access to the Site or its servers; (d) infringe any third‑party rights; or (e) harvest or scrape data from the Site.

12  Limitation of Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot legally be excluded. Subject to that:

  • Consumers – We are responsible for foreseeable loss or damage caused by our breach of these Terms or negligence, but we are not liable for loss that is not foreseeable, business losses, or losses caused by events outside our control.
  • Business customers – To the fullest extent permitted by law, we exclude all implied warranties and conditions and will not be liable for any indirect, special or consequential loss, loss of profit, data, business, revenue or goodwill. Our total liability in contract, tort (including negligence) or otherwise is limited to the price paid for the relevant Product.
  • Digital Products – We do not warrant that any download or operation of a digital Product will be uninterrupted or error‑free.

13  Events Outside Our Control

We are not liable for any failure to perform, or delay in performing, our obligations caused by events outside our reasonable control (including but not limited to strikes, supplier failure, epidemic, extreme weather, power or internet outages). We will contact you as soon as practicable and our performance will be suspended for the duration of the event.

14  Customers Acting in a Business Capacity

If you are purchasing on behalf of a business:

  • you confirm that you have authority to bind the business;
  • the Contract constitutes the entire agreement between us and supersedes all prior understandings;
  • you acknowledge that you have not relied on any statement not set out in these Terms.

15  How We Use Your Personal Information

We will only use your personal information as set out in our Privacy Policy, available at https://formforge.uk/privacy‑policy.

16  Other Important Terms

  1. Assignment – We may transfer our rights and obligations to another organisation. You may transfer yours only with our written consent.
  2. Third‑party rights – No one other than the parties has any right to enforce these Terms.
  3. Severance – If any provision is found unlawful or unenforceable, the remaining provisions will continue in effect.
  4. Waiver – A delay in enforcing rights does not waive those rights.

17  Changes to These Terms

We may update these Terms from time to time. The latest version will always be posted on the Site with the “Last updated” date at the top. Changes apply to new orders; existing contracts are governed by the Terms in force on the order date.

18  Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have non‑exclusive jurisdiction, except that consumers resident elsewhere in the UK or EU may bring proceedings in their local courts.
